Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the public marketing website at nuco-sys.com (the “Site”), operated by NuCo Systems LLC(“NuCo,” “we,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site.

The Site provides general information about the NuCo platform, allows you to request a demonstration, and allows you to submit feedback. The Site does not, by itself, provide access to the NuCo platform or any associated data. Platform access is provisioned separately under a signed customer agreement.

You may access the Site for lawful purposes related to evaluating NuCo's products and services. You agree not to:

• →Use the Site in any way that violates applicable law, regulation, or these Terms.
• →Attempt to gain unauthorized access to the Site, its systems, or any associated networks.
• →Scrape, crawl, or otherwise harvest content from the Site through automated means, except for well-behaved indexing by major search engines.
• →Submit false information through the demo request form, feedback widget, or any other input mechanism.
• →Interfere with the operation of the Site, including by introducing malicious code, conducting denial-of-service activity, or probing for vulnerabilities outside of an authorized engagement.
• →Misrepresent your affiliation with NuCo or any other person or organization.

The Site, including its design, text, graphics, logos, software, and other content, is owned by NuCo Systems LLC or its licensors and is protected by intellectual property laws. You may view and print pages of the Site for your personal or organizational evaluation purposes. You may not otherwise reproduce, distribute, modify, or create derivative works of the Site or its content without our prior written permission.

“NuCo,” the NuCo logo, and related marks are trademarks of NuCo Systems LLC. All third-party trademarks referenced on the Site are the property of their respective owners.

If you submit a demo request, feedback, or other communication through the Site, you grant NuCo a non-exclusive, worldwide, royalty-free, perpetual license to use that submission for the purposes of responding to you, improving our products and services, and operating our business. You represent that any information you submit is accurate and that you have the right to submit it.

The Site may link to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third party. Links are provided for convenience only and do not imply endorsement.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. NUCO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NUCO, ITS AFFILIATES, OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE — REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NUCO'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless NuCo, its affiliates, and its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your infringement of any rights of another party.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

We may modify, suspend, or discontinue any aspect of the Site at any time, with or without notice. We may also revise these Terms from time to time; the “Effective” date at the top reflects the most recent revision. Your continued use of the Site after a revision constitutes acceptance of the revised Terms.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
